1. Acceptance of Terms

By accessing, browsing, registering on, or enrolling in any program offered through www.prepflix.co.in or any related subdomains, mobile applications, or communication platforms operated by Prepflix, you unconditionally accept these Terms and Conditions and all policies incorporated herein by reference, including but not limited to our Privacy Policy, Cancellation & Refund Policy, and Shipping & Exchange Policy.

If you are accepting these Terms on behalf of an organization, institution, or any other legal entity, you represent that you have the authority to bind such entity to these Terms, and in that case, "you" and "your" shall refer to such entity. If you do not have such authority, or if you do not agree to these Terms, you must not use the services.

Prepflix reserves the right to refuse service, terminate accounts, and cancel enrollments at its sole discretion if users are found to be in violation of these Terms or any applicable law.

2. Eligibility

To use Prepflix's services, you must meet all of the following eligibility requirements:

• You must be at least 18 years of age, or if you are between 13–18 years of age, you must have the express written consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
• You must not be barred from receiving services under the laws of India or any other applicable jurisdiction.
• You must provide accurate, current, and complete information during registration and enrollment.
• You must not have had a previous account or enrollment terminated for cause by Prepflix.

Prepflix does not knowingly collect personal information from children under the age of 13. If we become aware that a child under 13 has registered on our platform, we will immediately deactivate the account and delete all associated data.

3. Account Registration and Security

To access most features of Prepflix, you are required to create an account by providing certain information including your name, email address, phone number, and academic details. You agree that:

• All registration information you provide is truthful, accurate, current, and complete.
• You are solely responsible for maintaining the confidentiality of your login credentials (username and password).
• You will not share, sell, transfer, or lend your account access to any third party under any circumstances.
• You will immediately notify Prepflix at prepflix.academy@gmail.com of any unauthorized use of your account or any breach of security.
• You are fully responsible for all activities that occur under your account, whether or not authorized by you.

Prepflix shall not be liable for any loss or damage arising from your failure to comply with the above security obligations. We reserve the right to disable any account if we believe the account is being used fraudulently, shared with unauthorized persons, or in any manner that violates these Terms.

4. Course Access and License

Upon successful enrollment and receipt of applicable fees, Prepflix grants you a limited, personal, non-transferable, non-sublicensable, revocable, non-exclusive license to access and use the course materials, recordings, assignments, and community resources strictly for your own personal, non-commercial educational purposes ("License"). This License is subject to your continued compliance with these Terms and does not include any right to:

• Copy, reproduce, republish, upload, post, transmit, distribute, or publicly display any course content.
• Modify, translate, adapt, or create derivative works from any course materials.
• Reverse-engineer, decompile, or disassemble any component of the platform or content.
• Sell, sublicense, rent, lease, or otherwise exploit course content for commercial purposes.
• Use automated tools, bots, scrapers, or scripts to access, harvest, or download content.
• Share screen recordings, session recordings, PDFs, code files, or any other proprietary material on any platform.

The License granted to you is strictly for the duration of your enrolled program and may be revoked at any time upon violation of these Terms. Access to certain content, including live session recordings, may be subject to time-limited availability as stated in your program details.

5. Payment, Fees, and Electronic Clearing Service (ECS)

By enrolling in a Prepflix program, you agree to pay all applicable fees as specified at the time of enrollment. All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated.

5.1 One-Time Payments: For lump-sum payment plans, the full fee is due at the time of enrollment. Access will be provisioned upon successful payment confirmation.

5.2 EMI / ECS Mandate:

• If you opt for an Equated Monthly Installment (EMI) plan, you authorize Prepflix and its designated payment processing partners to register an Electronic Clearing Service (ECS) mandate against your nominated bank account.
• By submitting your ECS details, you authorize recurring deductions on the agreed dates for the agreed amounts for the duration of the repayment plan.
• You are responsible for maintaining sufficient balance in your bank account on each ECS due date. Prepflix shall not be liable for any bank charges, penalties, or dishonor fees arising from insufficient balance.
• If an ECS deduction fails or is dishonored, Prepflix reserves the right to (a) suspend or restrict your access to the platform, (b) charge late payment penalties as communicated at enrollment, and (c) initiate legal recovery proceedings including but not limited to sending legal notices and approaching appropriate courts or arbitration forums.
• Revoking an ECS mandate without clearing outstanding dues shall be treated as a breach of contract and will result in immediate suspension of services and may attract legal action.

5.3 Price Changes: Prepflix reserves the right to modify pricing for future batches or new enrollments. Any price changes will not affect existing confirmed enrollments unless mutually agreed upon in writing.

5.4 Invoicing: A tax invoice or receipt will be issued electronically to your registered email address upon receipt of each payment installment.

6. Cancellation and Refund

All cancellation and refund requests are governed by our separate Cancellation & Refund Policy, which is incorporated herein by reference. You are strongly advised to read that Policy before making any payment. In general, Prepflix's programs are non-refundable after the cooling-off period or once course content has been accessed. Specific conditions and timelines are detailed in the Cancellation & Refund Policy.

7. Code of Conduct

All users of Prepflix platforms — including live sessions, recorded content, community forums, WhatsApp groups, Discord servers, and LMS portals — are expected to maintain a professional, respectful, and constructive environment. You agree to not:

• Harass, bully, intimidate, or demean any fellow student, mentor, instructor, or staff member.
• Use offensive, abusive, discriminatory, or sexually explicit language in any communication channel.
• Share or post any material that is defamatory, obscene, threatening, or violates the rights of any third party.
• Disrupt or interfere with the normal conduct of live sessions or course activities.
• Engage in unauthorized advertising, spam, or solicitation within Prepflix platforms.
• Attempt to gain unauthorized access to another user's account, data, or course materials.
• Share, forward, or record any mentor or instructor sessions without prior explicit written consent.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

Violation of the Code of Conduct may result in an immediate warning, temporary suspension, or permanent removal from the platform, at Prepflix's sole discretion. In the event of removal for conduct violations, no refund of fees paid shall be provided. Prepflix reserves the right to report any illegal conduct to appropriate law enforcement authorities.

8. Intellectual Property Rights

All content available on the Prepflix platform — including but not limited to video lectures, live session recordings, written notes, slides, PDFs, practice problems, coding exercises, mock interviews, mentor feedback, assessments, branding, graphics, logos, and software — is the exclusive intellectual property of Prepflix or its licensors, and is protected under applicable Indian and international copyright, trademark, and intellectual property laws.

The Prepflix name, logo, and all related marks are trademarks of Prepflix. You are not granted any right or license to use Prepflix's trademarks, trade names, or branding in any manner without prior written consent.

Any unauthorized reproduction, distribution, modification, public display, or creation of derivative works from Prepflix's intellectual property will be considered a serious breach of these Terms and may expose you to civil and criminal liability under the Copyright Act, 1957 (India) and other applicable laws.

If you believe any content on the platform infringes your intellectual property rights, please contact us at prepflix.academy@gmail.com with full details of the claimed infringement.

9. Third-Party Tools and Services

Prepflix's platform and programs may integrate with or rely upon third-party services including but not limited to Google (for login and Meet), Zoom, Slack, Discord, WhatsApp, Razorpay, and other payment gateways, CRM tools, and communication platforms. Your use of such third-party services is governed by their respective terms of service and privacy policies, over which Prepflix has no control.

Prepflix shall not be responsible or liable for any losses, damages, or disruptions arising from the use of, or inability to use, any third-party service, even if such service is integral to the delivery of our programs. Links to third-party websites provided on our platform do not constitute an endorsement of such sites or their content.

10. Privacy and Data

Your privacy matters to us. Prepflix collects, stores, and processes personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your data as described in the Privacy Policy. Please review it carefully.

11. Disclaimer of Warranties

The services provided by Prepflix are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Prepflix explicitly disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Warranties that the platform will be uninterrupted, error-free, virus-free, or fully secure.
• Warranties regarding the accuracy, completeness, timeliness, or reliability of any content or information provided.
• Warranties that use of the platform will result in job placement, interview calls, salary hike, or any other specific career outcome, unless a formal placement guarantee is documented in your enrollment agreement.

Prepflix does not guarantee that the platform will always be accessible, or that defects will be corrected promptly. Temporary interruptions due to maintenance, server issues, or force majeure events shall not constitute a breach of these Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Prepflix, its directors, officers, employees, agents, instructors, mentors, affiliates, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages.
• Loss of profits, revenue, data, goodwill, business opportunity, or career outcomes.
• Damages arising from unauthorized access to or alteration of your transmissions or data.
• Any conduct or content of any third party on the platform.
• Errors, inaccuracies, or omissions in any content provided on the platform.
• Loss or damage resulting from force majeure events including but not limited to natural disasters, internet outages, acts of government, or global pandemics.

In no event shall Prepflix's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the services exceed the amount actually paid by you to Prepflix in the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Prepflix and its officers, directors, employees, agents, instructors, mentors, partners, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use or misuse of the platform or services.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any third-party right, including any intellectual property, privacy, or contractual right.
• Any content you submit, post, transmit, or otherwise make available through the platform.
• Any fraudulent, misleading, or wrongful actions or misrepresentations made by you.

14. Modification of Terms

Prepflix reserves the right, at its sole discretion, to amend, modify, or replace these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify enrolled users by email or in-platform notification.

Your continued use of the platform or services after any changes have been posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the platform and request cancellation as per our Cancellation & Refund Policy.

15. Termination and Suspension

By Prepflix: We may, without prior notice, suspend or permanently terminate your access to the platform if you violate these Terms, fail to pay applicable fees, engage in fraudulent or illegal conduct, or otherwise act in a manner inconsistent with the spirit of these Terms. Upon termination for cause, no refund of fees shall be provided. Prepflix may also terminate services with reasonable notice where programs are discontinued.

By You: You may request account deletion or discontinuation of services by contacting us at prepflix.academy@gmail.com. Any such request is subject to our Cancellation & Refund Policy with respect to outstanding fees and outstanding EMI obligations.

Provisions of these Terms that by their nature should survive termination shall so survive, including but not limited to Sections 8 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), and 17 (Governing Law).

16. Grievance Redressal

In accordance with the Information Technology Act, 2000, and rules made thereunder, Prepflix has designated a Grievance Officer to address any concerns or complaints raised by users:

Response Time: We aim to acknowledge grievances within 48 hours and resolve them within 30 days of receipt.

Before escalating any dispute, users are encouraged to contact us directly to seek an amicable resolution. Prepflix is committed to resolving user concerns in a fair and timely manner.

17. Governing Law and Dispute Resolution

These Terms and all disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the parties agree to submit to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration being New Delhi, India, and the proceedings conducted in English.

Court Jurisdiction: For matters not subject to arbitration, or for seeking interim relief, the parties agree to submit to the exclusive jurisdiction of the competent courts located in New Delhi, India.

Notwithstanding the above, Prepflix reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

18. Miscellaneous Provisions

Entire Agreement: These Terms, together with the Privacy Policy, Cancellation & Refund Policy, and Shipping & Exchange Policy, constitute the entire agreement between you and Prepflix with respect to the subject matter hereof, and supersede all prior negotiations, representations, warranties, agreements, or understandings.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

Waiver: Prepflix's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Prepflix.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without Prepflix's prior written consent. Prepflix may freely assign its rights and obligations under these Terms without restriction.

Force Majeure: Prepflix shall not be liable for any delay or failure in performance of its obligations due to causes beyond its reasonable control, including acts of God, government actions, internet infrastructure outages, pandemics, or other force majeure events.

Language: In the event of any discrepancy between translations of these Terms and the English version, the English version shall prevail.
